1. Agreement to Terms

These Terms of Use ("Terms") govern your use of the website thatprompt.ai (the "Website") and the ThatPrompt desktop application (the "App"). ThatPrompt is a product of Black Lab Studios, and both are operated by Black Lab Studios, Lda, a limited liability company incorporated in Portugal, with its registered office at Rua da Alegria 27, 1.º, 4000-041 Porto, registered at the Conservatória do Registo Comercial de Sintra under single commercial registration and legal person number (NIPC) 519267532, with a share capital of €1,000 ("Black Lab Studios", "we", "us", or "our").

By accessing or using our Website or App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Website or App.

2. Use of Website and App

2.1 Eligibility

You must be at least 18 years old to use our Website and App. By using them, you represent and warrant that you meet this age requirement.

2.2 Acceptable Use

You agree to use the Website and App only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Website or App in any way that violates any applicable laws or regulations
• Attempt to gain unauthorised access to any portion of the Website or App
• Interfere with or disrupt the Website, App, or servers connected to them
• Use any automated means to access the Website or App without our permission
• Reverse-engineer, decompile, or disassemble the App
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

3. The App

3.1 Description

ThatPrompt is a desktop application for macOS and Windows that allows you to save, enhance, and retrieve AI prompts. The App stores your data locally on your device in a SQLite database.

3.2 Enhance Feature

The Enhance feature rewrites your prompt using a language model that runs on your own device. You download the model once during setup. Your prompt content is processed entirely on your machine. It is not transmitted to us or to any third party, so we do not receive it, store it, or train on it.

Because the model runs on your own hardware, the speed and quality of an enhancement depend on the model you choose and on the machine you run it on. We make no guarantee about the output of any individual enhancement.

3.3 The Lifetime Licence

The App is sold as a one-time lifetime licence, at the price shown on our pricing page when you buy it. There is no subscription and no renewal.

• "Lifetime" means for the life of the product: you can keep using the App, including every update we release, for as long as we offer it. If we ever stop offering the App, we will first release a final version that keeps working without our servers.
• The licence covers personal or professional use by one person. You can be signed in on up to 2 devices at a time.
• The licence is tied to your account and cannot be transferred or resold.

3.4 Early Access

Accounts created during free early access, up to and including 30 September 2026, keep full access to the App permanently, at no cost, on the same terms as a lifetime licence.

3.5 Payment

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you buy a licence, you also accept Paddle's buyer terms, which Paddle shows you at checkout. Prices include VAT or sales tax where it applies.

You can ask for a refund within 14 days of buying, as set out in our Refund Policy. If a purchase is refunded or reversed, the licence is removed from your account. Your locally stored prompts are not deleted.

3.6 Your Data and Backups

Your prompts are stored on your own device, not on our servers, so we cannot restore them if they are lost. You are responsible for keeping your own backups, for example with the App's export feature.

Nothing in these Terms limits your statutory rights as a consumer, including your rights if the App is faulty or not as described.

4. Intellectual Property Rights

4.1 Our Content

All content on the Website and within the App, including but not limited to text, graphics, logos, images, and software, is the property of Black Lab Studios, Lda and is protected by international copyright laws.

4.2 Your Content

You retain full ownership of any prompts or content you create, store, or enhance using the App. We do not claim any intellectual property rights over your content.

4.3 Limited Licence

You are granted a limited, non-exclusive, non-transferable licence to use the App for personal or professional use. This licence does not include any right to:

• Reproduce, distribute, or publicly display the App or its code
• Modify or create derivative works based on the App
• Use the App for any purpose that competes with ThatPrompt

5. Privacy

Your use of our Website and App is also governed by our Privacy Policy. By using the Website or App, you consent to the practices described in the Privacy Policy.

6. Disclaimers

6.1 AI-Generated Content

The Enhance feature uses AI to rewrite prompts. AI-generated suggestions may not always be accurate, appropriate, or suitable for your specific use case. You are responsible for reviewing and editing any enhanced content before use.

6.2 External Links

Our Website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of these sites and assume no responsibility for them.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Black Lab Studios, Lda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Website or App
• Any unauthorised access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Website or App
• Any bugs, viruses, or similar harmful code that may be transmitted to or through the Website or App by any third party
• Any errors or omissions in any content, including AI-enhanced prompts
• Any loss of locally stored data

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including your statutory rights as a consumer.

8. Indemnification

You agree to indemnify, defend, and hold harmless Black Lab Studios, Lda from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or in any way connected with your access to or use of the Website or App, or your violation of these Terms.

9. Governing Law and Disputes

These Terms are governed by the laws of Portugal. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country as well as in Portugal.

• File a complaint in the Livro de Reclamações Eletrónico, at livroreclamacoes.pt.
• Refer a consumer dispute to an alternative dispute resolution (RAL) entity. The entity for our registered office is CICAP, Tribunal Arbitral de Consumo, at cicap.pt. The full list of RAL entities is at consumidor.gov.pt.

10. International Use

The Website and App are available worldwide, except where Paddle cannot sell to you. If you use them from outside Portugal, you are responsible for complying with the laws that apply where you are.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will update the "Last updated" date at the top of these Terms. Your continued use of the Website or App after any changes constitutes acceptance of the new Terms. Changes will never take away rights you already have under a licence you have bought or an early-access account you already hold.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Black Lab Studios, Lda regarding the use of the Website and App.
